1. Eligibility
To participate in the Vivé Macro Affiliate Program (the "Program"), you must:
(a) Be at least 18 years of age, or the age of majority in your jurisdiction if higher.
(b) Hold an active paid subscription to Vivé Macro (Standard, Advanced, or Institutional tier) at the time of enrollment and throughout your participation in the Program. If your subscription lapses, your affiliate status is automatically suspended until you reactivate.
(c) Reside in a jurisdiction where Vivé Macro and Stripe Connect lawfully operate. Stripe Connect availability determines this. You cannot participate from sanctioned jurisdictions or from countries where Stripe does not support Connect onboarding.
(d) Not be an employee, officer, director, or contractor of VM Research and Analytics FZ-LLC at the time of enrollment.
(e) Comply with all applicable laws in your jurisdiction, including but not limited to consumer protection laws, advertising standards, tax laws, and securities laws.
2. Commission Structure
Subject to the conditions of these Terms:
Tier 1 (direct referrals). When a person signs up for a paid Vivé Macro subscription using your unique referral link or code (the "Referred Subscriber"), you will earn:
- 40% of the Referred Subscriber's gross subscription payments during the first 12 months of their subscription
- 20% during months 13 to 24
- 10% during month 25 and onward, for as long as the Referred Subscriber maintains an active subscription
Tier 2 (network override). If a Referred Subscriber subsequently becomes an affiliate themselves and refers their own subscribers (each, an "Indirect Referred Subscriber"), you will additionally earn:
- 5% of the Indirect Referred Subscriber's gross subscription payments during the first 12 months of that subscription
- 0% thereafter (Tier 2 commissions terminate at month 12)
The Program does not pay commissions beyond Tier 2. Vivé Macro does not operate a multi-level commission structure and will never extend to Tier 3 or beyond.
3. Attribution and Cookie Window
Referrals are attributed using a 60-day cookie window with last-click attribution. If a prospective subscriber clicks multiple affiliate links before signing up, only the most recently clicked affiliate receives credit. If the prospective subscriber clears their browser cookies, switches devices, or signs up after the 60-day window expires, no attribution is recorded and no commission accrues.
4. Payment Terms
(a) Hold Period. All commissions are subject to a 60-day hold period from the date of the underlying subscriber payment. During this period, the commission is reserved but not yet payable. This protects against refund and dispute reversals.
(b) Refunds and Disputes within Hold Period. If a Referred Subscriber's payment is refunded, charged back, or otherwise reversed during the hold period, the related commission is cancelled. You will not receive payment for the cancelled commission.
(c) Refunds and Disputes after Hold Period. Once the hold period elapses and commission is released for payment, that commission is final. If a refund or chargeback occurs after release, Vivé Macro absorbs the loss.
(d) Payout Schedule. Released commissions are aggregated weekly and transferred to your Stripe Connect account each Sunday for the prior week's released commissions. Commissions below Stripe's minimum transfer amount (currently $1 USD) are accumulated until the threshold is met.
(e) Payment Method. Commissions are paid via Stripe Connect to a bank account you connect during onboarding. Vivé Macro does not pay commissions by any other method (no PayPal, no checks, no wire transfers, no cryptocurrency).
(f) Currency. Commissions are calculated and transferred in US Dollars. Your bank may convert to local currency at its prevailing rates. Vivé Macro is not responsible for FX losses.
(g) Tax Reporting. Stripe Connect collects appropriate tax forms (W-9 for US affiliates, W-8BEN/W-8BEN-E for non-US affiliates) during onboarding. Tax forms (1099-K, etc.) are issued automatically by Stripe where required by law. You are solely responsible for reporting Program income to your local tax authority and paying any applicable taxes.
5. Prohibited Promotion Methods
You may not promote your affiliate link using:
(a) Spam. Unsolicited bulk email, SMS, social media DMs, comments, or any form of unsolicited mass outreach.
(b) Misrepresentation. False or misleading claims about Vivé Macro's products, performance, returns, methodology, ownership, or affiliations. You may not impersonate Vivé Macro staff or claim to be employed by, partnered with, or endorsed by Vivé Macro beyond your participation in this Program.
(c) Fake Reviews. Posting fabricated testimonials, fake user reviews, or paying others to do so.
(d) Trademark Abuse. Bidding on Vivé Macro brand keywords in paid search advertising. Registering domains containing "vive," "vivé," "vivemacro," "vivé macro," or confusingly similar variations.
(e) Coupon Stacking. Combining your affiliate link with promotional discount codes is not permitted. Where the system detects an affiliate cookie, promotional discount codes will not apply.
(f) Self-Referral. You may not refer yourself, members of your immediate household, accounts you control, or use any method to refer subscribers whose payment ultimately benefits you (other than through Program commissions). Attempts to self-refer will result in commission cancellation and may result in termination from the Program.
(g) Securities or Investment Advice Misrepresentation. Vivé Macro provides systematic research and analytics, not personalized investment advice. You may not promote Vivé Macro as a substitute for professional financial advice or imply that subscribing will produce specific returns.
6. Required Disclosure
In any public promotion of your affiliate link (social media, blog post, video, podcast, email newsletter, or other public-facing content), you must clearly disclose your affiliate relationship with Vivé Macro. This disclosure must be conspicuous, in proximity to the affiliate link, and unambiguous. Examples of compliant disclosures: "Affiliate link," "I earn a commission if you sign up via this link," "#ad," "Sponsored content."
This requirement reflects FTC guidelines (US affiliates), CMA guidelines (UK affiliates), and equivalent rules in your jurisdiction. Compliance is your responsibility.
7. Termination
(a) By You. You may terminate participation at any time by contacting info@vivemacro.com. Earned but unpaid commissions through the date of termination will be paid in the next normal payout cycle, subject to the hold period.
(b) By Vivé Macro. Vivé Macro may terminate or suspend your participation immediately, with or without notice, for: (i) breach of these Terms; (ii) detected fraud, abuse, or self-referral; (iii) chargeback rates exceeding industry norms among your downline; (iv) violation of applicable law; (v) reputational harm to Vivé Macro; (vi) Stripe Connect account closure or restriction. Termination forfeits all unpaid commissions in the held state but does not affect already-released payouts.
(c) Effect of Termination. Upon termination, your referral link is disabled. Existing Referred Subscribers continue to be customers of Vivé Macro. Their subscriptions are unaffected. Future commissions on these subscribers cease immediately upon termination. Tier 2 overrides on your downline cease as well.
8. Modification of Terms
Vivé Macro reserves the right to modify these Terms with 30 days' written notice via email to affiliates. Continued participation after the effective date of modifications constitutes acceptance. If you do not accept modifications, you may terminate per Section 7(a) and unpaid commissions will be settled per the original Terms in effect when those commissions accrued.
9. Modification of Commission Structure
Commission rates may be modified for new referrals only, with 30 days' notice. Commissions on existing Referred Subscribers continue at the rate in effect at the time of their signup. This protects both Vivé Macro and affiliates from sudden economic changes.
10. Limitation of Liability
(a) Vivé Macro's total liability to you under or in connection with these Terms shall not exceed the total commissions paid to you in the 12 months immediately preceding the event giving rise to the claim.
(b) Vivé Macro is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost business opportunities, or reputational damage.
(c) Vivé Macro is not liable for: (i) Stripe Connect outages or holds; (ii) bank rejection of transfers; (iii) tax consequences of Program income; (iv) any business decision you make based on expected Program income.
11. Independent Contractor Relationship
Nothing in these Terms creates an employment, partnership, agency, joint venture, or franchise relationship between you and Vivé Macro. You are an independent contractor. You have no authority to bind Vivé Macro to any contract or representation.
12. Confidentiality
You may not disclose any non-public Vivé Macro information you obtain through the Program (including but not limited to subscriber lists, commission rates of other affiliates, internal metrics, methodology details). Breach of confidentiality is grounds for immediate termination and may give rise to legal action.
13. Intellectual Property
Vivé Macro grants you a limited, revocable, non-exclusive license to use Vivé Macro's name and logo solely for the purpose of promoting your affiliate link in compliance with these Terms. All rights not expressly granted are reserved. Upon termination, you must immediately cease all use of Vivé Macro intellectual property.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates and the regulations of the Meydan Free Zone where VM Research and Analytics FZ-LLC is registered. Any dispute arising under these Terms shall be resolved by the courts of competent jurisdiction in the UAE. The provisions of the United Nations Convention on Contracts for the International Sale of Goods do not apply.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force and effect.
16. Entire Agreement
These Terms, together with Vivé Macro's general Terms of Service and Privacy Policy, constitute the entire agreement between you and Vivé Macro regarding the Program and supersede all prior agreements or understandings.
